These Terms of Service govern your access to and use of the mQ-up platform and its modules. By creating an account or using our services you agree to be bound by these terms.

Acceptance of Terms
By accessing or using mQ-up services you confirm that you are at least 18 years old, have the authority to enter into this agreement, and accept these terms in full. If you do not agree, you may not use our services.

Description of Services
mQ-up provides software-as-a-service products for cardiovascular data analysis, therapy planning, and cardiovascular data management — including mqDiagnostic, mqTherapy, mqData, mqGenerator, mqPrompt, mqHub, and mqConsult. Services are available to healthcare professionals, medical institutions, and individual users, subject to the plan selected. Features and availability may change as we develop the platform.

User Accounts
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. Accounts are non-transferable.

Permitted Use
You may use our services solely for lawful purposes and in accordance with these terms. You must not attempt to reverse-engineer, decompile, or extract source code from our products; use automated means to access or scrape the platform; or transmit harmful, unlawful, or fraudulent content.

Intellectual Property
All software, algorithms, designs, and documentation provided by mQ-up remain the exclusive property of mQ-up GmbH. These terms grant you a limited, non-exclusive, non-transferable licence to use the services for their intended purpose. No ownership is transferred to you.

Research Use Only
mQ-up products are intended exclusively for research, education, and investigational use by qualified professionals. They are NOT approved or intended for clinical diagnosis, treatment planning, or any other clinical decision-making purpose. All outputs — including ECG analysis, differential diagnoses, ICD-10 codes, therapy recommendations, and risk stratification — are provided for research and informational purposes only. They must not be used as the basis for any clinical action without independent validation by a licensed clinician. mQ-up GmbH makes no warranty as to the accuracy, completeness, or fitness of any output for any research or clinical purpose. mQ-up GmbH accepts no liability for any decisions, patient outcomes, or harm arising from use of its products.

Data Processing
Your use of our services is also governed by our Privacy Policy. By using our services, you agree to the processing of personal and health data as described therein. Organisations acting as data controllers are responsible for ensuring a lawful basis for any data submitted to our platform.

Subscriptions & Billing
mQ-up is offered on a subscription basis. Available plans and their prices are displayed during signup and on the pricing page. Subscriptions are billed monthly in advance. You may cancel at any time; access continues until the end of the current billing period. No refunds are issued for partial periods. mQ-up reserves the right to change pricing with at least 30 days' notice.

Limitation of Liability
To the maximum extent permitted by law, mQ-up GmbH shall not be liable for indirect, incidental, special, or consequential damages. Our total liability for any claim arising from these terms shall not exceed the fees paid by you in the twelve months preceding the claim.

Termination
Either party may terminate the agreement with 30 days written notice. mQ-up reserves the right to suspend or terminate access immediately for material breach of these terms. Upon termination, your right to access the services ceases and your data will be handled in accordance with our Privacy Policy.

Governing Law
These terms are governed by the laws of the Federal Republic of Germany. The courts of Bochum, Germany shall have exclusive jurisdiction over any disputes arising from or related to these terms, unless mandatory consumer protection law in your jurisdiction provides otherwise.
